Terms of Service

Welcome to Schoolyland. These Terms of Service (the “Terms“) govern the relationship between Schoolyland (“Schoolyland“, “we“, “us“) and the customer (“Customer“, “you“) in connection with the services we provide through schoolyland.com — building and delivering a complete WordPress-based business platform, hosting, maintenance, support, plugin license renewals, email sending, video hosting, the AI layer (MCP), and related services.

By placing an order with Schoolyland, using the schoolyland.com website, or using any of our services, you confirm that you have read, understood, and agreed to these Terms and to the binding companion documents: our Privacy Policy, and — for the AI layer — the MCP Terms of Service and MCP Privacy Policy.

These Terms constitute the entire agreement between the parties and supersede all prior agreements, understandings, and representations relating to their subject matter.

1. Definitions

1.1 “Schoolyland” / “we” — Schoolyland, a business registered in Israel (Business Registration No. 300638657), operator of schoolyland.com and its related services.

1.2 “Customer” / “you” — an adult (18 or older) or a registered business entity that has ordered a service from us, holds an active account with us, or uses any of our services. Our services are provided to business customers only (B2B). They are not offered to consumers acting in a private, non-business capacity.

1.3 “Services” — everything Schoolyland provides to the Customer, including platform setup, hosting, maintenance, support, plugin license renewals, the email sending package, video hosting, the AI layer (MCP), and related services, all according to the package purchased.

1.4 “the Site” — Schoolyland’s public website at schoolyland.com.

1.5 “Customer Site” / “your Platform” — the WordPress platform that Schoolyland builds, delivers, and/or maintains for the Customer, including the systems, content, data, and settings it contains.

1.6 “AI Layer” / “MCP Service” — the service connecting the Customer Site to AI tools that support the MCP protocol (such as Claude by Anthropic), as described in Section 10 and governed in detail by the MCP Terms of Service.

1.7 “Customer Content” — any content the Customer uploads, creates, or stores on the Customer Site, including text, images, video, courses, CRM data, details of the Customer’s own clients (“Customer’s End Users“), orders, and any other work product.

1.8 “Admin Access” — full administrative permission to the Customer Site (the WordPress “Administrator” role), including read, write, edit, and delete access to all content, plus server-level access (SSH / SFTP / hosting control panel) on sites hosted by us.

1.9 “Business Days” — Sunday through Thursday, excluding Israeli public and religious holidays and holiday eves. Our team operates on the Israeli business calendar; delivery and support timelines are calculated accordingly.

1.10 “Support Hours” — Sunday through Thursday, 11:30–19:00 Israel time (UTC+2, UTC+3 during daylight saving). Not active on Israeli holidays and holiday eves.

1.11 “Subprocessor” — an external service provider that processes data on our behalf in order to deliver the Services (for example: devim.cloud for server hosting, Mailgun for email delivery, Bunny.net for video hosting, PayPal for payments). The full list appears in the Privacy Policy.

2. Schoolyland’s access to your Platform

You explicitly acknowledge that in order to deliver the Services, Schoolyland holds broad access to your Platform:

2.1 Full administrative access. Schoolyland holds an “Administrator” role on your WordPress Platform, which grants: read, write, edit, and delete permission over all content, users, settings, and plugins; access to all data (client lists, courses, orders, support tickets, analytics, files); and access to the Platform’s source code and database.

2.2 Server access. On Platforms hosted by Schoolyland, we also hold full server access (SSH / SFTP / hosting control panel), as any hosting company does.

2.3 Purpose of access. This access is used solely for: platform setup, ongoing maintenance, and security updates; support and troubleshooting; backup restoration where needed; plugin license renewals; operating the AI/MCP service; operational monitoring for infrastructure stability; and compliance with binding legal requirements (e.g., a court order).

2.4 Confidentiality. Schoolyland is committed to full confidentiality regarding all information it can access. Customer information will not be disclosed to third parties except: with the Customer’s written consent; to Subprocessors, to the extent required to deliver the Services; or under a binding legal obligation.

2.5 Removing our admin user. You may remove Schoolyland’s Administrator user from your Platform at any time. Doing so effectively ends all maintenance and support services — we cannot maintain, update, or operate the AI layer on a platform we cannot access.

2.6 Server access on hosted platforms. On Platforms hosted by Schoolyland, server-level access remains with us even after the Administrator user is removed (as with any hosting provider). You may migrate your Platform to another hosting provider at any time and end this access (see Section 7).

3. Customer representations and obligations

3.1 Intake form. After purchase, you will be asked to complete an intake form with basic details — your domain, logo, brand color, initial images, and text for the basic pages. The delivery timeline (Section 5) starts when we receive a complete, valid intake form and your domain is pointed to our servers — not at the moment of payment.

3.2 Cooperation. You agree to cooperate with Schoolyland, provide required materials and approvals within a reasonable time, and respond to questions needed to complete delivery.

3.3 Payment. You agree to pay the full consideration on time, as set out in Section 4.

3.4 Lawful operation. You are fully responsible for the lawful operation of your Platform, including compliance with privacy, accessibility, tax, consumer-protection, anti-spam, and any other laws that apply to your activity and to your relationship with your own clients, in every jurisdiction where you operate.

3.5 Age and authority. You confirm that you are 18 or older, or that you are signing on behalf of a registered business entity and are authorized to bind it.

3.6 Consent to access. You confirm that you have read, understood, and agreed to Section 2 regarding Schoolyland’s access to your Platform.

4. Fees, payment, and usage limits

4.1 Price. The price is as displayed on the relevant product page at schoolyland.com at the time of purchase. Prices are stated in US dollars (USD).

4.2 Payment method. Payment is processed through PayPal. Schoolyland does not collect or store your card details; payment data is handled by PayPal under its own terms and privacy policy.

4.3 Taxes. Prices do not include any taxes, duties, or levies that may apply to you in your jurisdiction; these, if any, are your responsibility. Where a tax applies to the transaction by law, it will be presented at checkout.

4.4 What the one-time package price covers. The platform package is a one-time payment covering platform setup plus the first year of included services (hosting, plugin licenses, email package, video hosting, support, and the AI layer), as detailed in Appendix A. The package does not auto-renew.

4.5 Renewal after year one. Toward the end of your first service year we will contact you by email with your options (see Section 8.3). Renewal is an active choice — nothing renews automatically unless you have explicitly purchased a recurring renewal subscription. If you have set up a recurring annual renewal, it will renew automatically each year; you may cancel it in writing at least 30 days before the renewal date.

4.6 Price changes. Schoolyland may update its prices. A price change affecting a renewal will be announced at least 30 days in advance by email. Founding-member pricing commitments displayed at the time of purchase (e.g., a locked renewal rate) will be honored as displayed.

4.7 Additional costs. Additional charges may apply beyond the package price, for example: extra plugins you ask us to add beyond the package; upgrades to hosting, email, or video capacity; third-party services you choose to use (e.g., your own AI tool subscription — Claude or another MCP-compatible tool — which you purchase separately); and renewal of included services after year one.

4.8 Usage limits and overages. Your package includes defined capacity: site storage, 12,000 emails per month, and 20 GB video storage with 200 GB monthly streaming traffic (Appendix A). If your usage exceeds an included limit, we will notify you by email with your options — reducing usage or purchasing a capacity upgrade. If an overage is not resolved within 7 days of notice, Schoolyland may throttle or suspend the affected service component (e.g., email sending or video streaming) until it is resolved. We never charge your payment method automatically for overages.

4.9 Non-payment. If a due payment is not made, Schoolyland may suspend the Services and block access to the Platform until payment is settled. After the grace period in Section 8.5, Schoolyland may terminate the Service and remove the Platform from its servers.

4.10 Invoices. An invoice/receipt will be issued for every charge and sent to your account email.

5. Delivery commitment and timelines

5.1 Our delivery commitment. Your Platform will be delivered — installed, licensed, connected, and live on your domain — within two (2) Business Days from the later of: (a) our receipt of a complete, valid intake form; and (b) your domain pointing to our servers. We commit to the infrastructure: hosting, systems, licenses, and uptime. The business you run on it — content, design, marketing, sales — is yours (Section 5.6).

5.2 Customer-side delays. Delays caused by an incomplete intake form, a domain not pointed to our servers, unavailability, or missing materials are not Schoolyland’s responsibility and extend the timeline accordingly. The delivery clock does not run while we are waiting on you.

5.3 Exceptional load. In the event of exceptional order volume that prevents us from meeting the two-Business-Day timeline, Schoolyland may notify you by email of a revised delivery date. Email notice is binding notice. Your remedy under Section 6.2 is unaffected.

5.4 Long gaps between purchase and setup. If you purchase a package and do not complete the intake process for a substantial period, and in the meantime the service terms, pricing structure, or package contents have changed, the Platform will be delivered per the package contents in effect at the actual time of delivery. Components no longer included will not be delivered.

5.5 Third-party failures; force majeure. A failure in the infrastructure of an external provider outside Schoolyland’s control (devim.cloud, Anthropic, Bunny.net, Mailgun, PayPal, etc.) is not a breach by Schoolyland; timelines extend accordingly. See also Section 14.2 (force majeure).

5.6 What delivery does not include. Delivery covers the working machine: all included systems installed, licensed, connected, and live on your domain. It does not include graphic design, content creation, data migration from other platforms, marketing, or business results of any kind. We never promise leads, sales, or growth — we commit to the infrastructure, not the activity.

6. Refund policy

6.1 Before setup begins. You may cancel your order for a full refund at any time before you submit the intake form. Notice of cancellation must be sent in writing (Section 8.6).

6.2 If we fail to deliver. If we fail to deliver your Platform within fourteen (14) days after both delivery conditions in Section 5.1 have been met, and the delay is not caused by you or by force majeure, you may cancel the order and receive a full refund. This is your exclusive remedy for late delivery.

6.3 After delivery. Once your Platform has been delivered, the package fee is non-refundable. The Services are provided exclusively to business customers, and consumer withdrawal rights do not apply. Please make sure the service fits your needs before purchasing — presale questions are welcome through our contact channels and are answered quickly.

6.4 Renewals. Renewal fees for periods already charged are non-refundable. To avoid a renewal charge, cancel per Section 4.5 before the renewal date.

6.5 How refunds are paid. Approved refunds are returned to the original payment method (PayPal), normally within 14 days of approval.

7. Ownership and transfer; intellectual property

7.1 You own your Platform. The Platform, its content, its data, your client lists (Customer’s End Users), your courses, your settings, and any custom code written specifically for you — are fully owned by the Customer, without time limit or condition.

7.2 Schoolyland’s intellectual property. Schoolyland retains its intellectual property rights in the following components, which are provided under a usage license only (non-transferable, non-replicable):

  • The MCP Helper plugin — a plugin installed on your Platform to operate the MCP service. The license is valid while you are subscribed to the service. If the MCP service ends, the plugin is removed — with no effect on the rest of your Platform. Full license terms: MCP Terms of Service.
  • Schoolyland’s generic templates and core files — design templates, blocks, snippets, and code developed by Schoolyland for reuse across multiple customers.

Material restriction: you may not replicate your Platform (or substantial parts of it that include Schoolyland’s core files and generic templates) for your own clients, for additional platforms without payment, or for resale to a third party.

7.3 Freedom to leave. You may, at any stage and without needing Schoolyland’s consent, migrate your Platform to any other service provider. Schoolyland will provide: full access credentials to the Platform (wp-admin) and to the hosting server (where hosted by us); and a full backup file of the Platform upon written request, within a reasonable time (normally up to 7 Business Days).

The migration process itself is your responsibility — performed by you or by your new hosting provider. Schoolyland is not responsible for the migration or for the Platform’s functioning after it.

7.4 Consequences of migration. After your Platform is migrated to an external server: Schoolyland will stop maintaining, updating, and supporting it; the MCP Helper plugin will stop working (the MCP service can be re-enabled on the migrated platform, subject to a compatibility check and payment); and plugin licenses provided by Schoolyland will be detached at the end of the paid service year (the plugins keep working but stop receiving updates).

7.5 Open obligations. Migration does not release you from open financial obligations (payments for services rendered, charges not yet processed under an existing subscription).

7.6 “Powered by Schoolyland” credit. By default, platforms built by Schoolyland include a small “Powered by Schoolyland” credit in the footer. Removal of the credit requires Schoolyland’s prior written approval and may be offered as a paid option. Unauthorized removal of the credit constitutes a violation of Schoolyland’s rights.

7.7 Portfolio. Schoolyland may reference the Customer and the public edition of the Customer Site in its portfolio and marketing channels. We are open to discussing discretion where the Customer requires it.

7.8 Responsibility after delivery. At delivery, Schoolyland verifies that the Platform passed quality and integrity checks. From the moment of delivery — and for as long as you hold full Admin Access (including the ability to delete plugins, change settings, and edit code) — Schoolyland is not responsible for code integrity or for actions performed on the Platform by you or on your behalf. See Section 11.

8. Term and termination

8.1 Start. The agreement enters into force upon completion of the first payment.

8.2 First service year. The package includes platform delivery plus a first year of included services. The first year runs from actual delivery of the Platform, not from the payment date.

8.3 End of year one — your options. At the end of the first year, the included recurring services (hosting, video hosting, plugin license renewals, email package, support, AI layer) stop automatically unless renewed. Before that date you will receive an orderly email with your options: renew everything for one flat annual fee (at the rate displayed for your account — founding members keep their locked rate); renew individual components only; or not renew — your Platform keeps working without updates and support, and you may migrate it to any external server.

8.4 Cancelling recurring renewals. A recurring annual renewal subscription may be cancelled in writing at least 30 days before the next renewal date. Cancellation does not entitle you to a refund for periods already charged (Section 6.4).

8.5 Non-renewal / non-payment. If, at the end of the paid service year (or of a paid renewal period), the renewal has not been settled: a 14-day grace period applies, during which your Platform stays live and you may migrate it to another server; if not settled within the grace period, Schoolyland may, after written notice, remove the Platform and all its data from Schoolyland’s servers. We strongly recommend downloading a full backup before the end of your paid period if you do not intend to renew.

8.6 Form of cancellation. Cancellation must be made in writing — via the support system or by email to the address in the Contact section. Verbal cancellation is not binding.

8.7 Termination by Schoolyland — for cause. Schoolyland may terminate this agreement immediately or on notice in any of the following cases, each of which is a fundamental breach: non-payment (after the applicable grace period); a material breach of these Terms not cured within 14 days of written notice; abuse of the MCP/AI service; use of the Platform for unlawful, infringing, or harmful activity; a binding order of a competent authority; or discontinuation of the entire service by Schoolyland (with 60 days’ advance notice).

8.8 Termination by Schoolyland — poor fit. Schoolyland may end the engagement with a customer whose conduct materially impedes service delivery (including repeated unavailability, lack of cooperation, expectations inconsistent with the purchased scope, or an operational load disproportionate to the package). In that case: notice will be sent by email; the agreement ends within 7 days; during those 7 days you may download a full backup of your Platform; and a pro-rata refund for the unused period will be issued within 30 days.

8.9 Consequences of termination. Upon termination: all active services stop; access to included third-party capacity (e.g., video streaming) closes, unless you connected your own accounts; your data is retained for the period set in the Privacy Policy and then deleted; and if you migrated your Platform to another server, it continues to operate independently.

9. Support services

9.1 Support is asynchronous. Support is provided in English through our ticketing system and knowledge base. There is no phone support. This is how we keep the service focused and the response quality high.

9.2 Support Hours and SLA. Support operates on Business Days during Support Hours (Section 1.10). First response is normally provided within one Business Day. Response times are a typical estimate, not an absolute guarantee; Schoolyland makes reasonable efforts to meet them.

9.3 What support covers. Answers to operational questions about the systems included in your package; guidance on performing actions; and a quick check of standard flows. Support covers the plugins and systems delivered with your Platform.

9.4 What support does not cover: performing work on your Platform on your behalf; plugins or code you (or an AI acting for you) added after delivery; custom development; graphic design; content creation; marketing; business, strategic, or legal advice.

9.5 Maintenance. Plugin, theme, and WordPress core updates are performed monthly, together with an orderly check of common flows. After each maintenance run we send an email report of what was done and any issues found. Maintenance does not cover plugins that did not ship with your Platform or custom code created by you or by an AI acting for you.

9.6 Server faults vs. site faults. A server fault (platform unreachable, server down, critical infrastructure failure) receives urgent handling for all platforms hosted by us — at any service level. A site fault (a plugin error, a failure inside the platform itself) is handled for customers with an active service plan and valid plugin licenses.

9.7 External contributors. Schoolyland may use external service providers (freelancers, consultants, AI services) to deliver the Services. Any change, development, or code intervention on your Platform not performed by or on behalf of Schoolyland voids Schoolyland’s responsibility for the affected components.

10. The AI layer (MCP service)

10.1 What it is. Your Platform ships MCP-enabled: an AI tool that supports the MCP standard (such as Claude by Anthropic) can connect directly to your Platform’s systems, so you can operate your business in plain English. The AI layer is included in your package for the first service year and is active from day one; you may disable it at any time.

10.2 Dedicated terms. Use of the AI layer is governed by the dedicated MCP Terms of Service and MCP Privacy Policy, which form part of this agreement for customers using the AI layer and are accepted at checkout. This section is a summary.

10.3 Your AI subscription is separate. Use of the AI layer requires your own subscription to an MCP-compatible AI tool (e.g., Claude). That subscription is between you and the AI provider, under its own terms, and is not included in our package.

10.4 You direct the AI; you review its work. Actions performed on your Platform through the AI layer are performed at your instruction and under your responsibility. Schoolyland is not responsible for actions the AI performs on your Platform or for their results. We provide guardrails (see 10.5), but AI output requires your review. Support for custom code created by an AI on your Platform is not included in standard support — use the AI itself to fix issues it created.

10.5 Security and privacy. The AI layer is protected by multi-layer security controls (encrypted credentials, rate limiting, audit logging, isolation between customers). We record metadata only about actions performed (tool name, timestamp, status) — never your business content or your AI conversations. Details: MCP Privacy Policy.

10.6 Abuse. Schoolyland may suspend or limit the MCP service in cases of abuse, security risk, or disproportionate load, with notice where practicable.

11. Warranties and limitation of liability

11.1 Our warranty. Schoolyland will perform the Services with reasonable professional skill and in accordance with these Terms.

11.2 AS-IS beyond express commitments. Except for the express commitments in these Terms, the Services are provided “AS IS” and “AS AVAILABLE”, without any warranty, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

11.3 What Schoolyland is not responsible for:

  • Customer Content — its legality, quality, accuracy, or completeness
  • Actions performed by you on the Platform using your Admin Access
  • Actions of the AI layer — the results of actions an AI performed on your Platform (Section 10)
  • Plugins, themes, and code that you (or an AI acting for you) added or created — including their effect on the Platform’s integrity
  • Third-party services — errors, downtime, term changes, or discontinuation originating with infrastructure providers (devim.cloud, Anthropic, Bunny.net, Mailgun, PayPal, and any other provider listed in the Privacy Policy)
  • Email deliverability — we are not responsible for emails you send through the email package reaching the inbox (this depends on content, domain reputation, and parameters outside our control)
  • Lost revenue, lost profits, or lost business opportunities — or any indirect, consequential, incidental, or punitive damage arising from use of, or inability to use, the Services
  • Cyber attacks, breaches, viruses, or malicious acts of any third party, despite the reasonable measures we take

11.4 Liability cap. If, notwithstanding the above, Schoolyland is found liable for any damage, its aggregate liability shall not exceed the total amounts actually paid by the Customer to Schoolyland in the 12 months preceding the event.

11.5 Contractual limitation period. Any claim by the Customer against Schoolyland must be brought within 12 months of the date the Customer became aware of the relevant facts. This period is agreed separately and applies in addition to any statutory limitation.

11.6 Indemnification. You agree to indemnify Schoolyland, its representatives, employees, advisors, and suppliers against any damage, claim, demand, or expense (including reasonable attorney’s fees) arising from: your breach of these Terms; your infringement of third-party rights; unlawful, harmful, or infringing content on your Platform; your abuse of the AI/MCP service; or your breach of your obligations as data controller toward your own clients.

12. Customer Content and legal compliance

12.1 Your content is your responsibility. You are fully responsible for all content you upload, create, or store on your Platform, including its legality under the laws that apply to you and to your audience, respect for copyright and other third-party rights, and avoidance of unlawful, defamatory, hateful, or harmful content, or use of the Platform for fraud or any illegal activity.

12.2 Takedown. If content violating Section 12.1 comes to our attention, or upon an order of a competent authority: in non-material cases we will ask you to remove or fix the content within a reasonable time; in material or urgent cases we may remove the content or suspend the Platform immediately, with notice to you.

12.3 Your obligations toward your own clients and visitors. You are the data controller of your clients’ data and are responsible for complying with the privacy laws that apply to you (GDPR, CCPA, or others), including publishing your own privacy policy on your Platform; consumer law compliance in your transactions; accessibility requirements that apply to you (platforms are delivered without an automatic accessibility process); tax obligations on revenue generated through your Platform; and lawful consent for everyone on your mailing lists under applicable anti-spam laws.

12.4 Schoolyland as your data processor. With respect to your End Users’ data (the data your own clients enter into the systems we provide), Schoolyland acts as a data processor on your behalf; you are the data controller. The processing commitments and the built-in DPA summary appear in the Privacy Policy.

12.5 Minors. Schoolyland does not provide services to individuals under 18. If your own audience includes minors, full responsibility for complying with the laws that protect minors’ data — including parental consent — rests with you.

13. Changes to these Terms

13.1 Schoolyland may update these Terms from time to time to reflect changes in the business, the law, or circumstances.

13.2 Notice. A material change will be announced at least 30 days in advance, by email to active customers and by publishing the updated version at schoolyland.com/terms. Non-material changes (wording fixes, technical adjustments) take effect upon publication.

13.3 Your paid period is honored. A customer within a paid annual period keeps the terms in effect for that period; new terms apply from the next billing cycle.

13.4 Continued use. Continued use of the Services after a change takes effect constitutes acceptance. If you do not accept a material change, you may cancel per Section 8, without penalty (and without refund for periods already paid).

14. Governing law; force majeure

14.1 Governing law and jurisdiction. These Terms and any dispute relating to them are governed by the laws of the State of Israel, without regard to conflict-of-law rules. The competent courts of the Jerusalem district, Israel, shall have exclusive jurisdiction.

14.2 Force majeure. Neither party is liable for a failure or delay caused by an event beyond its reasonable control, including war, hostilities, terrorism, natural disasters, epidemics, national-scale strikes or infrastructure failures, or orders of a competent authority. The affected party will give prompt notice and act to minimize impact. After 30 consecutive days of force majeure, either party may terminate the agreement by written notice, without liability for damages.

15. Miscellaneous

15.1 Entire agreement. These Terms, together with the Privacy Policy and — for customers using the AI layer — the MCP Terms of Service and MCP Privacy Policy, constitute the full agreement between the parties. Information or statements provided in other channels (chat, email correspondence, support tickets) that conflict with these Terms are void; these Terms prevail.

15.2 Severability. If any provision is held invalid or unenforceable, that provision alone is severed and the remainder stays in force.

15.3 No waiver. A failure to exercise a right is not a waiver of it. A waiver is valid only in writing.

15.4 Assignment. You may not assign your rights or obligations without Schoolyland’s prior written consent. Schoolyland may assign its rights and obligations in the context of a merger, acquisition, or sale of activity, provided the Services continue without interruption.

15.5 Official communication. Official communication between the parties is in writing, by email. Your address is the one registered on your account; ours appears in the Contact section below.

15.6 Headings are for convenience only.

15.7 Language. These Terms are drafted in English, and the English version is binding for services purchased through schoolyland.com.

Appendix A — Package contents

This appendix reflects the package contents as of the date of publication. The up-to-date details always appear on the product page at schoolyland.com.

The Schoolyland Platform package includes, for the first service year:

  • A complete WordPress business platform built on Elementor Pro + Kadence, delivered live on your domain
  • 13 connected business systems: business website, blog, landing pages, online courses (LMS), store, sales funnels, protected video, email marketing, CRM, automations, members area, private community, and affiliate program
  • 11 premium plugins, installed, licensed, and configured (including LearnDash, WooCommerce, FluentCRM Pro, CartFlows Pro, Presto Player Pro, FluentCommunity, AffiliateWP, Fluent Forms Pro, Rank Math Pro, Uncanny Automator Pro, Elementor Pro)
